The terms "you" and "your" refer to either a User or an Employer, as the case may be.

Please read these Terms and Conditions carefully. If you do not accept the Terms and Conditions stated, please do not use the Site. Your use of the Site will indicate that (1)you agree to comply with and be bound by these Terms and Conditions, as revised by the Provider from time to time, and (2)your agreement to comply with these Terms and Conditions is a fair and reasonable requirement in exchange for your free access to and use of the Site. Because the Provider may unilaterally and without notice revise these Terms and Conditions at any time by updating this page, please review these Terms and Conditions regularly.

Description of Services

The Provider makes the Site available, subject to these Terms and Conditions, as an online venue for the use of Employers, which may post job listings, and Users, who may browse job listings. In providing such services (the "Services"), the Provider is not acting as an advertiser, employer or employment agent and has no control over any transaction between or among Users and Employers.

User Conduct

Subject to these Terms and Conditions, the Provider authorizes Users and Employers to use the Services and access the contents of the Site, which include, without limitation, the text, graphics, images, logos, icons and software contained on the Site (collectively, the "Materials"), for the respective purposes of seeking lawful employment and career information and publicizing available employment opportunities (collectively, the "Authorized Purposes"). You may download and view one copy of the Materials solely for your personal, noncommercial use.

Subject to these Terms and Conditions, the Provider authorizes Employers to upload, post, distribute, disseminate, e-mail or otherwise transmit, submit or furnish certain text, data, messages, information, communication and other material ("Content") to the Site. These Terms and Conditions refer to any such act as "posting Content." Users are not authorized to post Content to the Site. Each Employer agrees that it will post no Content that:

1. is false, inaccurate, incomplete, outdated or otherwise misleading;
2. is unlawful, harmful, threatening, abusive, tortious, defamatory, vulgar, hateful, obscene or libelous;
3. harasses, "stalks" or invades the privacy, publicity or personal rights of any person;
4. is protected under a contractual or fiduciary obligation (e.g., inside information or proprietary information disclosed or acquired in the course of an employment relationship or pursuant to a nondisclosure agreement);
5. violates any patent, copyright, trademark, trade secret or other proprietary or intellectual property right of any person or entity;
6. violates any applicable federal, state, local or international law, rule or regulation including, without limitation, (i)laws relating to labor and employment, or (ii)laws restricting the export or re-export of technical data from the United States or the country in which such Employer conducts business or is located or domiciled;
7. impersonates any person or entity, falsely states an affiliation with any person or entity or contains a forged TCP/IP packet header or other identifying information;
8. contains software viruses, "Trojan horses," "worms," "time bombs," "cancelbots" or any other malicious computer code, files or programs that may interrupt, destroy or otherwise limit or interfere with the functionality of the Site, the Services or any computer software or hardware or telecommunications equipment;
9. contains sexually explicit materials or images; or
10. contains "junk mail," "spam," "chain letters" or any other form of unsolicited or unauthorized advertising or materials or solicits any franchise, "club membership," "pyramid scheme," distributorship or sales representative agency arrangement or other business opportunity that requires an up front or periodic payment, pays commissions only (or an insignificant salary) or requires the recruitment of other members, sub-distributors or sub-agents.

In addition, you agree that, in using the Site and the Services:

1. you will comply with all applicable federal, state, local and international laws, rules and regulations including, without limitation, (i)laws relating to labor and employment, and (ii)laws restricting the export or re-export of technical data from the United States or the country in which you reside (if you are a User) or any country in which you conduct business or are located or domiciled (if you are an Employer);
2. if and to the extent that there is any material change to any Content that an Employer has uploaded, posted, distributed, e-mailed or otherwise transmitted, such Employer will promptly notify the Provider of any updated or revised Content required to make such Content true, accurate, complete and current;
3. you will not delete, revise or otherwise modify any material posted or otherwise transmitted by any other person or entity, including the Provider;
4. you will not collect or store data about other persons or entities or otherwise use the Site or Services for any purpose other than the Authorized Purposes;
5. you will not use any engine, device, mechanism, routine, tool, software or computer code (including, without limitation, browsers, spiders, avatars, and intelligent agents), or engage or attempt to engage in any other action, that may (i)interrupt, destroy or otherwise limit the functionality of the Site or the Services or otherwise interfere with the operation of the Site or the Services, (ii)impose an unreasonable or disproportionately large load on the Site, or (iii)permit the navigation or search of the Site using search engines, agents or technology other than that furnished by the Provider on the Site or that are generally available third-party web browsers (e.g., Netscape Navigator, Microsoft Explorer);
6. you will not attempt to copy, adapt, decipher, decompile, disassemble or reverse engineer any of the software contained on the Site or the HTML code used to generate the Site;
7. you will not engage in any action that may interfere with or adversely affect the ability of any User or Employer to use the Site and Services including, without limitation, any action that imposes an unreasonable or disproportionately large burden on the infrastructure supporting the Site and the Services.
8. except as set forth in these Terms and Conditions, you will not copy or reproduce the Materials; sell, publicly display, misappropriate or distribute the Materials; use the Site or the Services for commercial purposes or otherwise use the Site, Services or Materials for purposes other than the Authorized Purposes;
9. you will not engage in any action that may violate or otherwise compromise the integrity or security of the Site including, without limitation, (i)attempting to access any account or data on the Site, or any non-public area of the Site, that you are not authorized to access; (ii)disclosing any password to an unauthorized third party; or (iii)attempting to probe, scan or test the vulnerability of the Site or breach any security measures protecting the Site and Services; and
10. you will (i)maintain the confidentiality of all passwords and accounts to which you have access, and (ii)immediately notify the Provider in the event that you discover any unauthorized use of any password or account or any other breach of security measures protecting the Site and Services.

Each Employer agrees that (i)it is fully responsible for the form, content and accuracy of all Content that it, or any person acting on its behalf, posts to the Site; (ii)the Provider has the right, but not the obligation, to pre-screen, monitor or otherwise review any Content posted by any Employer; and (iii)the Provider has the right, for any reason and in its sole discretion, to edit, modify or remove any Content posted to the Site, without notifying any User or Employer (including the Employer that posted such Content). Each Employer represents and warrants to the Provider that any job listing that it posts to the Site reflects a bona fide employment opportunity available to all qualified applicants.

You agree that the Provider has the right to revoke or otherwise limit your access to the Site and Services in the event that you violate or otherwise breach any of these Terms and Conditions.

Warranty Disclaimers and Limitation of Liability

The Provider has no obligation to maintain or continue to operate the Site or to offer the Services free of charge. You agree that the Provider will not be liable to you or any third party in the event that the Provider terminates, suspends or cancels the Site, discontinues offering the Services free of charge or loses or inadvertently deletes or modifies in any way any Content posted to the Site.

The Provider has no obligation to prevent any User or Employer from engaging in the unauthorized use or any other misappropriation of any Content posted to the Site by any User or Employer. You agree that the Provider will not be liable to you or any third party in the event of any such use or misappropriation.

The Provider has no obligation to (i)pre-screen, monitor or otherwise review any Content posted to the Site by any Employer, or (ii)supervise, monitor or otherwise become involved in any transaction entered by parties using the Site and Services. The Provider does not endorse, recommend or warrant the services of any Employer that posts Content to the Site. Each Employer is fully responsible for all Content that it posts to the Site.

The Provider does not represent or warrant (1)the truthfulness, accuracy, completeness, reliability, quality or legality of any Content posted to the site by any employer; (2)the identity of any employer posting Content to the site; (3)the ability or intention of any employer to offer jobs to users; or (4)that any employer posting content to the site is not acting under false pretenses. Further, the Provider does not represent or warrant that you will not find any Content to be misleading, offensive, inappropriate, indecent, threatening, vulgar, hateful or obscene. finally, THE PROVIDER DOES NOT REPRESENT OR WARRANT THAT THE SITE WILL OPERATE ERROR-FREE OR THAT THE SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS.

Accordingly, please be aware that by (i)posting Content to the Site, (ii)viewing, downloading or relying on Content posted on the Site, or (iii)dealing with persons or entities posting such Content, you subject yourself to certain inherent risks. These risks include, among other things, physical harm, economic loss and damage to computer hardware and software. In the event of any dispute involving you and any User or Employer, you agree to release, defend, indemnify, protect and hold harmless the Provider, its officers, directors, agents and employees, from and against any and all liabilities, claims, demands, damages, losses or expenses of any kind or description, including, without limitation, attorneys' fees, caused by, arising out of, resulting from, attributable to or in any way incidental to such dispute or either party's use of the Site or the Services.

Ownership of Content

All Materials contained on the Site are owned by or licensed to the Provider and are protected under United States and foreign copyright, trademark and other laws. The compilation (i.e., the collection and arrangement) of any and all Content posted to the Site is the exclusive property of the Provider and is protected under United States and foreign copyright, trademark and other laws. You hereby grant to the Provider the right to use for any lawful purpose any Content that you post to the Site, including, without limitation, your name or identity.

The Site may contain hypertext links, banners and/or buttons (each, a "Link") that allow Users and Employers to access other Web sites. These Links are provided to you for your convenience. The Provider is not responsible for, and does not endorse, recommend or warrant the truth, accuracy or completeness of, any content contained on third-party Web site that you access via a Link.

If you access any third-party Web site using a Link contained on the Site, you do so at your own risk. You agree that the Provider will not be liable to you or any third party in connection with any correspondence or dealings you might have with any such third party.

General

The laws of the State of Arizona will govern these Terms and Conditions and their interpretation. You consent to the jurisdiction and venue of the state courts in Maricopa County, Arizona or the United States District Court for the District of Arizona as the exclusive forum for all disputes arising from or related to these Terms and Conditions or your use of the Site or the Services (each, a "Dispute"). The prevailing party in any such Dispute shall be entitled to recover its reasonable attorneys' fees and costs from the other party.

The invalidity or unenforceability of any provision in these Terms and Conditions shall not affect the validity or enforceability of any other provision set forth in these Terms and Conditions.

The Provider's failure to enforce any right granted by these Terms and Conditions shall not be deemed a waiver of the Provider's right to enforce any other such right or to take action in response to any other breach.
