Description of Services The Provider makes the Site available, subject to these Terms and Conditions, as an online venue for the use of Employers, which may post job listings, and Users, who may browse job listings. In providing such services (the "Services"), the Provider is not acting as an advertiser, employer or employment agent and has no control over any transaction between or among Users and Employers. User Conduct Subject to these Terms and Conditions, the Provider authorizes Users and Employers to use the Services and access the contents of the Site, which include, without limitation, the text, graphics, images, logos, icons and software contained on the Site (collectively, the "Materials"), for the respective purposes of seeking lawful employment and career information and publicizing available employment opportunities (collectively, the "Authorized Purposes"). You may download and view one copy of the Materials solely for your personal, noncommercial use. Subject to these Terms and Conditions, the Provider authorizes Employers to upload, post, distribute, disseminate, e-mail or otherwise transmit, submit or furnish certain text, data, messages, information, communication and other material ("Content") to the Site. Each Employer agrees that (i)it is fully responsible for the form, content and accuracy of all Content that it, or any person acting on its behalf, posts to the Site; (ii)the Provider has the right, but not the obligation, to pre-screen, monitor or otherwise review any Content posted by any Employer; and (iii)the Provider has the right, for any reason and in its sole discretion, to edit, modify or remove any Content posted to the Site, without notifying any User or Employer (including the Employer that posted such Content). Each Employer represents and warrants to the Provider that any job listing that it posts to the Site reflects a bona fide employment opportunity available to all qualified applicants. You agree that the Provider has the right to revoke or otherwise limit your access to the Site and Services in the event that you violate or otherwise breach any of these Terms and Conditions. Warranty Disclaimers and Limitation of Liability The Provider has no obligation to maintain or continue to operate the Site or to offer the Services free of charge. You agree that the Provider will not be liable to you or any third party in the event that the Provider terminates, suspends or cancels the Site, discontinues offering the Services free of charge or loses or inadvertently deletes or modifies in any way any Content posted to the Site. The Provider has no obligation to prevent any User or Employer from engaging in the unauthorized use or any other misappropriation of any Content posted to the Site by any User or Employer. You agree that the Provider will not be liable to you or any third party in the event of any such use or misappropriation. The Provider has no obligation to (i)pre-screen, monitor or otherwise review any Content posted to the Site by any Employer, or (ii)supervise, monitor or otherwise become involved in any transaction entered by parties using the Site and Services. The Provider does not endorse, recommend or warrant the services of any Employer that posts Content to the Site. Each Employer is fully responsible for all Content that it posts to the Site. The Provider does not represent or warrant (1)the truthfulness, accuracy, completeness, reliability, quality or legality of any Content posted to the site by any employer; (2)the identity of any employer posting Content to the site; (3)the ability or intention of any employer to offer jobs to users; or (4)that any employer posting content to the site is not acting under false pretenses. Further, the Provider does not represent or warrant that you will not find any Content to be misleading, offensive, inappropriate, indecent, threatening, vulgar, hateful or obscene. finally, THE PROVIDER DOES NOT REPRESENT OR WARRANT THAT THE SITE WILL OPERATE ERROR-FREE OR THAT THE SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. General The laws of the State of Arizona will govern these Terms and Conditions and their interpretation. You consent to the jurisdiction and venue of the state courts in Maricopa County, Arizona or the United States District Court for the District of Arizona as the exclusive forum for all disputes arising from or related to these Terms and Conditions or your use of the Site or the Services (each, a "Dispute").
